What Is a Tax Matters Agreement

Notwithstanding any other provision of this Agreement (other than sections 2.2(c), 3.5(g) and 3.6(f)), the Tax Matters Agreement governs only all matters relating to taxes (including their assignments) dealt with therein. In the event of any conflict between this Agreement and the Tax Convention with respect to matters governed by the Tax Convention, the Tax Convention shall prevail.
